(Speed vs. Speed) and (Diplomacy vs. Diplomacy) - both stats must be higher on your flagship in order to successfully take it over.
The early bird gets the worm, but the second mouse gets the cheese.
see... even though they say 'respectively' most people, including myself, believed that the sum vs the sum.
even though in the back of my head i didn't make sense how you can diplomacy a ship with speed alone.
The idea, I think, is that you have to be of a higher diplomacy score, and you have to 'win the initiative', so to speak - basically, the higher speed lets your diplomat make his case first.
The early bird gets the worm, but the second mouse gets the cheese.
You must be fast enough to talk it into peaceful nagotiations befure it has decided that you are its enemy and fires on you.
Ahhhhhhhhhhhhhhhhhhh..........
now it makes sense.
A better explanation would go as follows -
When engaging another Starship (non-player) and your Speed is equal or greater then the opposing ships Speed, do one of the following:
Diplomacy: If your Diplomacy is equal to or greater then the opposing ships Diplomacy you may either make it your flagship or move it to your points area.
Combat: If your Attack is equal to or greater then the opposing ships Attack and you are able to destroy the opposing flagship move it to your points area.

Still find it funny that the Enterprise's first rule of contact in this game is to shoot first then runa way as long as its faster. And if its not, its iron will to shoot you to space debris is hard to overcome without upgrades.
