The Power Rangers “Power Up Video Challenge” Official Rules
Please Read These Official Rules With Your Parent or Legal Guardian.

Many Will Enter, Few Will Win.
Eligibility: The Power Rangers “Power Up Video Challenge” Contest (“Contest”) is open to legal residents of the fifty (50) United States and the District of Columbia who are between the ages of 3 & 13 as of 10/1/09. Entrants must have a parent’s or legal guardian’s permission to participate in this Contest prior to entering. Children of employees, officers, directors, representatives & agents of Bandai America Incorporated (hereafter, “Sponsor”), The Marketing Arm Inc., (hereafter, “Administrator”), Disney Consumer Products, Inc., & each of their respective parent companies, subsidiaries, affiliates, retailers, distributors, suppliers, & advertising & promotion agencies (collectively, “Released Parties”), & the immediate families (mother, father, child, sibling & their respective spouses) of any of the foregoing, regardless of where they reside (as well as those domiciled with them, whether or not related). Void where prohibited or restricted by law, rule or regulation. Contest is subject to all applicable federal, state & local laws. Participation in this Contest constitutes the parent or legal guardian’s full and unconditional agreement to and acceptance of these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to this Contest. Any entry information provided by children under the age of thirteen (13) will be used solely for the purposes of the Contest and will be destroyed immediately after its conclusion in accordance with the requirements of the Children's Online Privacy Protection Act ("COPPA").

How to Participate: Contest begins at 12:00:00AM Pacific Time (“PT”) on 10/1/09 and concludes at 11:59:59PM PT on 12/15/09 (“Promotion Period”). All entries will be divided into two (2) entry categories: Video Entries and Photo Entries (each, an “Entry Category”). NOTE: The entry form may only be completed and submitted by your parent/legal guardian and no entry will be registered unless and until your parent/legal guardian provides his/her consent as set forth in these Official Rules.
Phase 1: Go to www.bandai.com/powerrangers/videochallenge and watch the video clip & follow the directions provided to complete the entry form:
1.) Upload an original video of no more than three (3) minutes in length of child acting out their best interpretation of how they would “Save the Power Rangers” from Evil (collectively, with entry form, “Video Entry”) OR 2.) Submit up to ten (10) photos of child acting out their best interpretation of how they would “Save the Power Rangers” from Evil (collectively, with entry form, “Photo Entry”). For the purposes of these Official Rules, Video Entries and Photo Entries may sometimes be collectively referred to herein as “Entries”. All Entries must: 1) Depict child acting out their interpretation of the ending to the story shown in the Power Rangers video clip (in English); 2) (Video Entry Only): Be in one of the following video types: .mpeg, .dat, .wmv, .avi, .mov, .mpg, .flv and file can not exceed 30MB; 3) (Video Entry Only): Be no more than three (3) minutes in length; 4) (Photo Entry Only): Each Photo file cannot exceed 10MB & must be submitted in one of the following formats: .jpg, .jpeg, .png, .doc, flattened .psd or .gif; 5) Be the original creation of the child; 6) Not have won previous awards for the submission; 7) Not have been previously published; 8) Not infringe on any third-party rights; 9) Be suitable for publication, as determined by Sponsor in its sole discretion; 9) Child must be the predominant figure in video/photos; 10) Feature a minimum of one (1) Bandai Power Rangers toy. Entries may not contain, as determined by the Sponsor, in its sole discretion, any content that: (1) is sexually explicit or suggestive; violent or derogatory; profane or pornographic; contains nudity; (2) promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; (3) is obscene or offensive; (4) appears to duplicate any other submitted Entries or duplicate any Power Ranger footage, television show or spot; (5) defames, misrepresents or contains disparaging remarks about other people or companies (including Bandai’s products); (6) contains trademarks, logos, or trade dress owned by others (except that of Bandai’s); (7) contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art) (excluding Bandai’s products); (8) features any individuals other than parent and his/her child; (9) communicates messages or images inconsistent with the positive images and/or good will with which Sponsor wishes to associate; and/or (10) violates any law. Entries that do not describe or depict an ending to the story shown in the Power Rangers video clip will be void.

Modification of an existing work does not qualify as original. In order to be entered into the Contest, Entrant must comply with the registration instructions. Entries must be complete and meet all criteria set forth in these Official Rules to be eligible. Entries that are deemed by the judges in their sole discretion to be immoral, obscene, profane or not in keeping with Sponsor’s image or in violation of these Official Rules will be void. All Entries must be submitted by 11:59:59PM PT on 12/15/09 to be considered. All Entries become the property of the Sponsor and will not be returned. You may enter as often as you wish, but each Entry must be unique and distinctly different from any other Entry you have submitted. The name of the “authorized account holder” associated with any given email address will be deemed to be the entrant and must comply with these Official Rules. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Proof (to Sponsor’s satisfaction) of being the authorized account holder may be required by Sponsor. Entrants may use the Power Rangers characters, trademarks and logos for the sole purpose of creating an Entry and entrant may make no further use whatsoever of the Power Rangers characters, trademarks and logos or the Entry for any purpose whatsoever, which right is subject to revocation at any time and for any reason by Sponsor. Entrant acknowledges that this non-exclusive license to create a derivative work using the copyrighted works (in whole or in part) as required (but only as required, and only for the purpose of creating your Entry) shall be conditioned upon entrant’s assignment of all rights in the work created and submitted to us. If such rights are not assigned to us, your license to create derivative works using our copyrighted works (in whole or in part) shall be null and void. Entrant agrees to the foregoing grant of rights, consents, agreements and assignments whether or not the Entry is used. You hereby appoint Sponsor (or its designee as the case may be) as your agent with respect to the rights granted herein, and with full power to enter into and execute any document and/or do any act we may consider appropriate to confirm the grant of rights, consents, agreements, assignments and waivers set forth in these Official Rules. To the extent that any “moral rights”, “ancillary rights”, or similar rights in or to the Entry exist and are not exclusively owned by Sponsor, entrant agrees not to enforce any such rights as to Sponsor, or its designees, and you shall procure the same agreement not to enforce from any such others who may possess such rights. In addition, entrant recognizes all of the right, title, and interest in the Power Rangers characters, trademarks and logos as well as all derivative works created using the Power Rangers characters, trademarks and logos (including the Entry) shall vest exclusively in Sponsor, and entrant will not have or take any action that might harm or adversely affect such rights. No right, title, or interest in and to the Power Rangers characters, trademarks and logos except for the limited license granted to entrant in these Official Rules is transferred or created. By submitting an Entry, entrant acknowledges and agrees that Sponsor may obtain other Entries under this Contest and the Sponsor or the Released Parties may have developed on their own or through other third parties’ ideas and material that may be similar or identical to the Entry submitted by entrant, and entrant waives any and all claims he/she may have had, may have, and/or may have in the future, that any other Entry reviewed and/or used by Sponsor or the Released Parties infringes the rights of entrant. Entrant agrees that anything submitted by entrant is not being made in confidence or trust and that no confidential or fiduciary relationship is intended or created between entrant and Sponsor or entrant and any of the Released Parties in any way, and that entrant has no expectation of any review, compensation or consideration of any type for the Entry.

Released Parties are not responsible for lost, incomplete, late, damaged, stolen, undelivered, garbled, delayed, inaccurate, or misdirected Entries, photos, videos or votes; failures or malfunctions of phones, phone lines or telephone systems or other communications malfunctions; interrupted or unavailable network, cable, satellite, Internet Service Provider (ISP), server or other connections including those through www.bandai.com/powerrangers/videochallenge; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in this Contest; printing, typographical or other errors appearing within these Official Rules or in any Contest-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, computer, electronic or otherwise, including, without limitation, any errors or problems that may occur in connection with the administration of the Contest, the processing or judging of Entries, the incorrect uploading of the videos and/or photos, the tabulation of votes, or the announcement of the winners. The use of automated entry or similar devices or any other means to subvert the entry process is prohibited and all such Entries are void.

Finalist Judging: A panel of qualified independent judges selected by Sponsor, whose decisions will be final and binding in all matters relating to this Contest, will judge each Video Entry & Photo Entry based on the following criteria:

1) Originality, including creativity, uniqueness & depiction: 0-35 points; 2) Quality: 0-30 points; 3) Presentation, including compelling delivery, appeal, & overall engagement: 0-35 points. The five (5) Video Entries & five (5) Photo Entries with the highest score in their Entry Category will be deemed Finalists, subject to verification of eligibility and compliance with these Official Rules. In the event of a tie in any Entry Category, the tied Entries in the applicable Entry Category will be re-judged based on the following criteria: Overall Quality: 0-100 points. Sponsor reserves the right to select fewer than (10) potential Finalists if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries for that Entry Category.

Phase 2: Peer Voting: From 12:00:00PM PT on 1/1/10 to 12:00:00PM PT on 1/15/10 (“Voting Period”), the five (5) Finalist Video Entries & five (5) Finalist Photo Entries selected by Sponsor’s panel of judges will be posted online for peer voting. To vote for the Video Entry and/or Photo Entry you find most entertaining, visit www.bandai.com/powerrangers/videochallenge during the Voting Period and follow the instructions provided to submit your vote. Finalists are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Votes generated by script, macro or any other automated means and votes by any means which subvert the entry process will be void. There is a limit of one (1) vote per person and per email address per day for each individual Entry Category. Votes received from any person or email address in excess of the stated limitation will be void. The one (1) Video Entry that receives the highest number of valid votes, as determined by Sponsor in its sole discretion, will be deemed the Grand Prize Winning Video Entry and the entrant who submitted such Entry will be deemed the Video Entry Grand Prize winner (subject to verification of eligibility and compliance with the terms of these Official Rules). The one (1) Photo Entry that receives the highest number of valid votes, as determined by Sponsor in its sole discretion, will be deemed the Grand Prize Winning Photo Entry and the entrant who submitted such Entry will be deemed the Photo Entry Grand Prize winner (subject to verification of eligibility and compliance with the terms of these Official Rules). The next two (2) highest scoring Video Entries & the next two (2) highest scoring Photo Entries will be deemed Runner-Up Prize winning Entries and the entrants who submitted such Entries will be deemed Runner-Up Prize winners (subject to verification of eligibility and compliance with the terms of these Official Rules). In the event of a tie in any Entry Category (for any prize level), such tied Entries will be judged by a “tie-breaking” judge based on the Overall Quality: 1-100 points.

Prizes: One (1) Video Entry Grand Prize: $10,000 awarded in the form of check that may be used toward educational expenses. (Approximate Retail Value (“ARV”): $10,000).
One (1) Photo Entry Grand Prize: $1,000 awarded in the form of check that may be used toward educational expenses. (ARV: $1,000).
Four (4) Runner-Up Prizes (two (2) per Entry Category): A prize pack consisting of Bandai’s Mighty Morphin Power Rangers figures, vehicles, megazords and roleplay toys. (ARV: $522 each).
All federal, state and local taxes and other costs and expenses associated with prize acceptance and use not specifically identified as being included in the prize are the sole responsibility of each winners. Prizes are awarded “as is” without warranty or guarantee either express or implied by Sponsor. All prize details are at Sponsor’s sole discretion. Total ARV of all prizes to be awarded: $13,088.

Miscellaneous: No transfer, assignment, cash redemption (if non-cash prize) or substitution of prizes (or portion of prize) except by Sponsor which reserves the right to substitute a prize (or applicable portion of prize) with one of comparable or greater value, as determined by Sponsor. Prizes will be awarded in name of the parent/legal guardian of entrant whose entry is selected as a winner and such parent or legal guardian will be required to fulfill all requirements imposed on winners set forth herein. The parents/legal guardians of the potential prize winners will be contacted by telephone, mail and/or overnight mail and required to execute and return an Affidavit of Eligibility and a Release of Liability and (where legal) a Publicity Release within three (3) days of the date of issuance of notification. Noncompliance with the foregoing time period or with these Official Rules, any notification being returned as non-deliverable, or the inability to contact a potential winner’s parent or legal guardian within a reasonable time period may result in disqualification of the potential winner and, at Sponsor’s discretion, the next runner-up for the applicable Entry Category will be notified. By participating, each entrant and his/her parent/legal guardian warrants and represents that his/her Entry does not violate any federal, state or local laws or ordinances. Entrants and his/her parent/legal guardian further warrant and represent that by entering into this contest (1) Sponsor & its designees shall own the Entry, including videos & photos (and all material, including music, embodied therein); (2) that by entering, the entrant and his/her parent/legal guardian irrevocably assigns to Sponsor and its designees any and all rights, title and interest in the Entry (including videos & photos) including, but not limited to, all intellectual property rights; and (3) that Sponsor and its designees shall have, without limitation, the perpetual worldwide right to edit, adapt, modify, publish, reproduce, exploit and use the Entry (including videos and photos and all rights embodied therein) in any way and in any media for trade, advertising, promotional and/or other purposes as Sponsor and/or its designees may determine without further consideration, attribution, notification or permission of entrants. Entrants further warrant and represent that (1) they have secured the requisite consent from any third party pictured or appearing in their Entry and, if their Entry is a winner, agree to provide legal releases for the use of such appearance or picture in a form satisfactory to judges. Entrants and his/her parents/legal guardians further agree that: (1) to be bound by these Official Rules and the decisions of the Sponsor and judges which are final and binding in all respects; (2) use of Entries (including videos and photos) (and all components thereof) will not require acknowledgement or notice of authorship; (3) Released Parties and their respective designees shall have the right and permission to use (unless prohibited by law) entrant’s name, voice, city and state of residence, photograph and/or likeness for advertising and/or trade and/or any other purpose in any and all media now or hereafter known, worldwide, in perpetuity, without further compensation, attribution, permission or notification; and (4) the Released Parties shall have no liability and will be held harmless by entrants and his/her parent/legal guardian for any liability, loss, injury or damage to entrants or any other person or entity, including personal injury or death to entrants or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of entrant’s participation in this Contest, the use of any video, photo, or acceptance, possession, use or misuse of a prize. Released Parties are not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Sponsor reserves the right, in its sole discretion, to void suspect Entries or to modify, cancel, terminate or suspend the Contest (or any portion thereof) should virus, bugs, non-authorized human intervention or other causes, including but not limited to, war or armed conflict (whether or not officially declared), labor controversy or threat thereof, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of the Contest and, in the event of such cancellation, suspension or termination, at its discretion, determine the winners from among all non-suspect, eligible Entries received for the applicable Entry Categories up to time of such action using the judging procedure outlined above. To the extent any portion of these Official Rules is in conflict with any portion of the Terms of Use posted on the website for the Contest, these Official Rules shall prevail. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
