question about Danzo n1225

Two questions
1. I think I know this but will ask anyway. If player A. has n890 Zetsu and is tracking Tobi and Player B. has Madara Uchiha n1111. Player B then sacrifice's n1111 Madara for Danzo n1225
will Danzo (who will get "Name: Tobi" ) Gain his +1/+1 coins or will zetsu negate him first?

2. if Danzo n1225 has his effect negated after he is put in play what will happen to his gained characteristics? (the ones from the sacrificed ninja)

1. He will get his coins first. Then become negated.
2. He would keep the characteristics.
